Terms of Service Agreement

THESE TERMS SHOULD BE READ CAREFULLY, AS THEY AFFECT THE LEGAL RIGHTS OF THE PARTIES.

The Terms of Service and all policies and documentation expressly incorporated herein (collectively, these “Terms”) govern the access or use, download, initialization or administration (collectively, “Use(s)” or “Use”) of the DelaRu Service, including related software applications (the “Service”) by you and, if you use the Service on behalf of or for the benefit of any legal entity or business, such legal entity or business (collectively referred to as “You” or “Your"). This is a legally binding contract between you and the MedZnaniya Business. (“MZB"),

By using the Service, you agree and accept these Terms, and if you use the Service on behalf of or in the interests of any legal entity, you represent and warrant to the Ministry of Health that you have the authority to oblige such legal entity to comply with these Terms and to conclude these Terms on behalf of such organization. IF YOU DO NOT HAVE SUCH AUTHORITY OR YOU DO NOT AGREE TO THESE TERMS, THEN YOU SHOULD NOT ACCEPT THESE TERMS, ACCESS, USE, DOWNLOAD, INITIATE OR ADMINISTER THE SERVICE, AS WELL AS ALLOW OR AUTHORIZE ANY OTHER PERSON OR ENTITY TO DO SO.

Service.

The Service is provided as is and without support, and MZB makes no obligations or guarantees – and will have no obligations – regarding any availability/unavailability, uptime/downtime, performance, reliability, functionality, functions or other operation/inactivity of the Service (including, but not limited to, any integration or other a Service function designed to interact with any third-party offer (“Integration”)). You acknowledge and agree that (a) the Service will not be uninterrupted, error-free or available 100% of the time, (b) content may be transmitted, broadcast, transmitted, recorded, received and/or stored through the Service, and other users or participants in Your meetings may export, save, store, record or copy such content by or on behalf of you or other users in various ways (including, but not limited to, third-party integrations or local or external downloads), (c) The Service is not intended and should not be used for backup or long-term storage of data, and (d) MZB is not responsible for any such exported content or any loss of such stored content. The use of mobile applications may use basic third-party cellular and/or data services and, thus, may use dedicated units of such services and/or result in the use or other fees associated with such third-party services.

MZB may, at its sole discretion, at any time, with or without notice, and without any obligation or liability to you or any other party, suspend, terminate, restrict, modify, modify, downgrade and/or update the Service (in whole or in part), including without limitation any function, functionality, integration or their component.

THE SERVICE SHOULD NOT AND IS NOT INTENDED TO BE USED IN ANY APPLICATIONS WHERE A FAILURE, INTERRUPTION OR MALFUNCTION CAN REASONABLY BE EXPECTED TO RESULT IN BODILY INJURY, LOSS OF LIFE OR SUBSTANTIAL MATERIAL DAMAGE, INCLUDING, BUT NOT LIMITED TO, SUPPORT OR TRANSMISSION OF EMERGENCY CALLS TO EMERGENCY SERVICES (FOR EXAMPLE, 112). MZB is not responsible for any claims, damages or losses that arise as a result of this restriction.

Using the Service

You agree to use the Service in accordance with these Terms and in accordance with any applicable laws and regulations, including by obtaining all necessary permits, licenses, rights, permits and/or permits. You are solely responsible and liable for Your Use of the Service, including, but not limited to, any and all content transmitted, broadcast, transmitted, recorded, received and/or stored by you on or through the Service (“Your content”). To the extent that you decide to use any software applications provided by the MZB in connection with the Service, you agree that you will immediately install all updates, bug fixes, corrections and other fixes related to the Service provided by the MZB.

You agree not to:

- take any action or omission that can reasonably be expected to (i) violate or compromise the integrity or security of the Service or the privacy of any other user(s) or (ii) cause imminent and material damage to the Service, the Ministry of Health or any other user(s) of the Service;

Do not use the service:

- for any fraudulent, criminal, defamatory, offensive or insulting purposes, as well as to participate in or facilitate any illegal activity;

- infringe, infringe or violate the intellectual property, privacy or other rights or misappropriate the property of any third party;

- transmit, distribute or store any materials containing viruses, Trojan horses, worms, malware, spyware or similar programs or materials;

- transmit misleading or inaccurate information about the caller ID with the intent to deceive, harm or unlawfully obtain something of value;

- to transmit or broadcast unsolicited or “unsolicited” marketing or promotional materials or messages by pre-recorded voice messages, SMS, fax messages or other means in violation of any applicable laws or regulations; or

- to transmit, distribute, display, store or exchange inappropriate or obscene content or materials (including, for example, nudity, bestiality, pornography, offensive language, graphic violence or criminal activity).

- attempt to hack or gain unauthorized access to the Service or any network, environment or system of the DelaRU MZB or any other user (users) of the Service;

- delete, hide, modify or alter any brands, logos and/or legal notices displayed in or with the Service; or

- connect or redirect extension numbers or numbers associated with the Service to a private messaging station or key system or to other numbers that can handle multiple calls at the same time.

In connection with the use of the Service or immediately after its use, MZB may provide users with information or offers or advertising of MZB or MZB services (“Branding”). If you integrate the Service with another service, product or application for third-party users or otherwise provide it or make it available to third-party users for commercial purposes, you must allow such Branding to be viewed and interacted with by such third-party users for at least 15 seconds from the moment of the first presentation, and you must not otherwise remove, hide, modify or modify any such Branding in any way.

Using the Service does not give you ownership of any intellectual property rights to the Service or any content of the MZB or third-party manufacturers that you access. You have no right to use the MZB or third-party content from the Service unless you have received permission from its owner or are otherwise not permitted by law. In addition to displaying the corporate identity contained in the Service, these Terms do not grant you the right to use any corporate identity or logos used in the Service or otherwise owned by MZB.

You can stop using the Service at any time. MZB may – at its sole discretion, at any time, with or without notice, and without any obligation or liability to you or any other party – suspend, modify or terminate the provision of the Service to you or any other party for any reason or without reason, including, without limitation, if You fail to comply with these Terms or if we investigate suspected misconduct. In short, you should not rely on the Service offered for any commercial or other purposes. MZB offers paid services designed to meet the needs of business users.

The service is intended for reasonable use in commercially acceptable volumes. Thus, your free use of the Service is limited to a maximum cumulative amount of 25 Active Endpoints per calendar month (“Monthly Active Endpoints”) in all your accounts. “Active Endpoint” means a unique access point, which can be a browser tab, laptop, mobile device, etc. (“Endpoint"), which is used to connect to or access a meeting in a Service that one or more other Endpoints are also connected to or have access to. If the MOH determines – at its sole discretion – that you use or are responsible for Using the Service beyond this limit, the MOH may – in addition to any other rights and remedies provided for in these Terms - restrict such Use and/or require you to switch to a paid service in order to continue using the Service.

Your Content

You retain ownership of any intellectual property rights you hold in Your Content. When you transmit, broadcast, transmit, record, receive and/or save content on or through the Service, you grant the MZB (and those with whom we work) a worldwide license to use, post, store, reproduce, modify, create derivative works (for example, as a result of translations, adaptations or other changes that we make to make your content work better with the Service), transmit, publish, publicly perform, publicly display and distribute such content solely for the limited purpose of operating and enabling the Service to work as intended for you and for no other purpose. Make sure that you have the necessary rights to grant us this license for any content that you submit to or through the Service.

If you provide a name or photo related to your use of the Service, we may display your name and photo in connection with Your Use. We will respect the choice you make to restrict the sharing or visibility of your name and/or photo in settings. For example, you can adjust your settings so that your name and photo are not displayed.

If you leave feedback or suggestions about the Service, we can use your feedback or suggestions without any obligation to you.
